Please review the agreement below and check the box to indicate acceptance. TO SUBMIT YOUR MATERIAL YOU MUST AGREE TO ALL OF THE TERMS AND CONDITIONS SET FORTH IN THIS FORM 1. General. By agreeing to this Agreement and transmitting or submitting content to HD Greetings or through the HD Greetings Partner Program (the “Program”), whether created by or for you, including but not limited to graphics, music, sound, images, files, photos, animation, artwork, text, data, information, messages, hypertext links, scripts or other material (collectively, “Content”), you are granting Light Factory, LLC, a Texas limited liability company and its successors, assigns, and licensees and parent, subsidiary and other affiliated entities (the “Company” or “HD Greetings”), the operators of HDGreetings.com, the rights as set forth below. You may be able to generate revenue through participation in the Program with respect to valid, end user activity relating to Content and advertisements. Such activity could include for example, without limitation, full Content views or clicks on an advertisement, conversion of a click to a sale, or delivery of an advertising impression displayed in connection with your Content (collectively, “Advertising Actions”). 2. Use of Content. You agree that HD Greetings may:    •   host, index and cache your Content;    •   tag your Content with information that will be used by HD Greetings to identify it as your Content and assist HD Greetings        in properly tracking and calculating any revenue that you may earn;    •   modify any meta data you submit with your Content, including without limitation meta tags, age ratings, descriptive        language, search terms, category and keyword modifiers;    •   associate HD Greetings’ ad insertion software (“Ad Insertion Software”) with your Content to enable HD Greetings,        if applicable and in HD Greetings’ sole discretion, to deliver advertisements in relation to your Content;    •   Insert pictures and/or other visual representations, to the extent called for in your Content;    •   Insert or add audio to your Content, or modify the existing audio portion of your Content;    •   distribute, or have distributed, your Content in the network utilized by HD Greetings for distribution and        syndication (the “HD Greetings Network”);    •   reject, suspend access to or remove any of your Content from the HD Greetings website or the HD Greetings Network        at any time that HD Greetings deems it unsuitable for the HD Greetings Network or for distribution in        the HD Greetings Syndication Network; and    •   engage in such further actions regarding your Content as may be necessary or appropriate in order to effect        the purposes of the Program. HD Greetings shall have no liability for taking such actions. You agree and accept that HD Greetings does not guarantee that your Content will be distributed within the HD Greetings Network and that distribution may be subject to acceptance by any of the third party service providers (“Third Party Service Providers”) and/or persons or entities who will syndicate your Content through with the inclusion of advertisements (“Syndicators”) within the HD Greetings Network 3. License to Content. You hereby grant (or warrant that the owner of such rights has expressly granted) to HD Greetings a worldwide, revocable, non-exclusive, sublicensable, limited right and license to use, reproduce, modify and adapt (solely to permit HD Greetings to conform and adapt your Content to technical requirements, including without limitation the right to adapt to streaming, downloading, broadcast, mobile, digital, thumbnail, scanning or other technologies), excerpt, publish, transmit, publicly perform, display, reference, store, host, index and cache, in any form, medium or technology now known or later developed, your Content, in whole or in part, whether created by or for you, by any method, and in any and all media, whether currently existing or hereafter developed, including without limitation through the HD Greetings Network, still photos, videos, and CDs, on merchandise such as T-shirts, posters and assorted paraphernalia, by television by any means, on or via the Internet, including, without limitation, the World Wide Web, and any other two-way transmission control protocol / internet protocol (TCP/IP) based distribution network or similar networks or technologies now known or hereafter to become known, including, but not limited to, delivery via such a network to personal computers, hand-held devices, and television set-top boxes through telephone or cable lines, or wirelessly through broadband, satellite, cellular or terrestrial broadcast networks and other similar networks or technologies whether now existing or hereafter developed. You understand that your revocable limited license to HD Greetings includes your grant to HD Greetings of the right to create, display and distribute (as set forth more fully in the previous sentence) a derivative work based on your Content, which derivative work is comprised solely of your Content as adapted as allowed in Section 2 above (the aforementioned derivative work is hereinafter referred to as your “HD Greeting Content”). HD Greetings’ rights, with respect to your HD Greeting Content, are limited to its rights set forth in this Agreement. The above license will terminate: (i) with respect to any Content that you have requested be removed in accordance with Section 7; and (ii) upon termination of the Agreement. 4. License to HD Greetings Trademarks. During the term of this Agreement, and subject to your compliance with the terms and conditions of this Agreement, HD Greetings grants you the right to use the trade names, trademarks, logos and designations in or associated with the HD Greetings Network (the “HD Greetings Marks”) solely for purposes of identifying HD Greetings and solely in connection with your permitted activities under this Agreement. You agree that the HD Greetings Marks and all associated goodwill are and will remain the sole property of HD Greetings, that any goodwill generated as a result of your licensed use of HD Greetings Marks belongs exclusively to HD Greetings and inures solely to the benefit of HD Greetings, and that your use of HD Greetings Marks is subject to HD Greetings’ control of the quality of any products or services with respect to which you may be authorized to use HD Greetings Marks. 5. Ownership of Rights a. HD Greetings and its licensors own all right, title and interest, including without limitation all worldwide intellectual property rights in the Program, and all such rights to all derivative works or enhancements of, in and to, or relating to, the Program. By entering into this Agreement or by your submission of Content, you will not acquire any intellectual property or similar rights in the Program or related products and services. You agree that you will not (i) remove, alter or conceal any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the HD Greetings Program or related products and services; or (ii) use HD Greetings’ name, logo, trademark, trade names or service marks except as expressly permitted in this Agreement without HD Greetings’ prior written consent. b. Subject to the license and rights you are granting in this Agreement, you shall retain all right, title and interest, including without limitation all worldwide intellectual property rights, in and to your Content that is submitted, posted or displayed by you. HD Greetings shall not acquire any right, title or interest in or to such Content, except as provided herein. Any rights not granted by you herein are deemed retained by You. You have the right to revoke your license and grant of rights as set forth in Section 7. You acknowledge that you are aware that HD Greetings has limited practical ability to control or monitor possible infringement of your intellectual property rights by other parties and that HD Greetings assumes no responsibility for controlling or monitoring such intellectual property rights. In addition, HD Greetings is not responsible for enforcing your intellectual property or for suing or taking other legal action against infringers or against Syndicators or Third Party Service Providers who fail to cease using Your Video Content upon revocation. You or the third party licensor through which you are granting rights to the Content, as appropriate, are responsible for protecting your intellectual property rights. HD Greetings may, at its discretion, choose to assist you in connection with protecting or enforcing your intellectual property rights in a particular instance; in such event, this does not mean that HD Greetings has an obligation to do so in any other instance and this does not mean that HD Greetings has an obligation to effectively protect or enforce your intellectual property rights. 6. Revenue and Payment Terms a. Revenue. Subject to your compliance with the terms and conditions of this Agreement, and depending on the distribution channels (and associated revenue structure, if any) through which your Content is being distributed, HD Greetings will pay you fifty percent (50%) of the revenue actually paid to HD Greetings by Third Party Service Providers and Syndicators, less any third party affiliate acquisition fees, Syndicator fees, agency fees and server costs, as a result of valid Advertising Actions generated in connection with your Content distributed in the HD Greetings Network. You understand and agree in the event your Content is distributed (i) by certain Third Party Service Providers and Syndicators via broadcast or mobile Distribution; or (ii) with non-commercial sponsorship or advertisements, such distribution may not generate revenue for you. HD Greetings makes no guarantee that any revenue will be generated from your Content. b. Payment Terms. Amounts due to you, if any, will be determined solely by HD Greetings based on Advertising Action data—regarding impressions, clicks, conversions and other applicable metrics—collected by and/or supplied to HD Greetings. Payments earned as a result of valid Advertising Actions will accrue and be posted to your Account. All payments will be made in U.S. Dollars. Generally, payments will be available for withdrawal or transfer thirty (30) days after the end of the calendar month in which they were paid to HD Greetings . HD Greetings will not be liable for damages resulting from any failure to post payments to Your Account within such thirty (30) day period. Notwithstanding the foregoing, HD Greetings shall make no payments until such payments total at least one hundred dollars ($100). You will not be entitled to receive interest on any payments. Except as contemplated by subsection (c) below, payments will remain in your account until: (i) you transfer such amounts to a PayPal Account or other payment system acceptable to HD Greetings; (ii) You direct HD Greetings in writing to distribute such payments to a designated PayPal Account or other payment system acceptable to HD Greetings, or (iii) HD Greetings terminates this Agreement. If you dispute HD Greetings’ payments made to you under this Agreement, you must notify HD Greetings in writing within thirty (30) days of HD Greetings depositing such payment to your account. Failure to notify HD Greetings in this manner will result in your waiver of any claim relating to such dispute. HD Greetings will use reasonable efforts to resolve any such dispute in good faith, but HD Greetings’ resolution will be final. You are responsible for any and all applicable taxes or charges imposed by any government entity in connection with amounts paid or payable to you. Your payment is contingent upon your completion, execution and return to the Company of applicable documentation regarding payments to you under this Agreement, e.g. a Form W-9 or W8-BEN. HD Greetings may change its pricing and/or payment structure at any time, upon thirty (30) days' prior notice of any such change (unless HD Greetings is required by law to provide more than thirty (30) days notice). All modified payment terms shall be effective thirty (30) days after notice has been provided to you by HD Greetings (or such other time period specified in such notice). If any such modified payment terms are not acceptable to you, your only recourse is to remover your Content. By continuing to participate in the Program following notice of any modified payment terms as set forth herein, you accept and agree to be bound by such modified payment terms. For the purposes of checking credit, effecting payment and/or servicing your account, HD Greetings may share with third parties, such as payment processors and/or credit agencies, any credit card and related payment information that you provide. c. Exceptions. HD Greetings will have no obligation to pay any amounts, and is permitted to deduct or withhold any amounts from or posted to your account, determined or reasonably suspected by HD Greetings in its sole discretion to have resulted from: (i) Action Fraud (as defined below) as determined in HD Greeting’s discretion, including without limitation through any clicks originating from Your IP addresses or computers under Your control, solicited by payment of money, false representation or request for end users to click on Advertisements, or valid Advertising Actions co-mingled with a significant number of invalid Advertising Actions; (ii) Advertising Actions originating on Content that breaches this Agreement, including but not limited to a breach of Section 9; or (iii) fraudulent, misleading or false activities. HD Greetings reserves the right to withhold or deduct payment, if applicable, or suspend or otherwise disable your account, pending HD Greetings’ reasonable investigation of any of the foregoing or any breach of this Agreement by you. “Action Fraud” shall mean the generation of automated, fraudulent or otherwise invalid Advertising Actions, including Advertising Actions or activity related to your Content that is suspected or determined to be so-called “click fraud” or “impression fraud,” whether in any automated or human way, by the use of a person, an automated script or a computer program (for example, online robots or “bots”) to click on an advertisement, or any other fraudulent means, to increase impressions, skew results or imitate a legitimate user of a web browser, for example, by clicking on an advertisement for the purpose of generating an improper click value and generating revenue. 7. Removal of Content. You have the right to terminate this Agreement and revoke certain licenses you are granting in this Agreement, with respect to all of your Content. If you choose to revoke any of your revocable licenses, HD Greetings will use commercially reasonable efforts to remove your Content from the HD Greetings Site reasonably promptly upon receipt of your notice of revocation and will make reasonable efforts to notify authorized Syndicators and Third Party Service Providers for whom it has current and up-to-date information. However, you acknowledge and agree that HD Greetings shall have no obligation to attempt to remove from distribution: any of your Content that is otherwise publicly available through the Internet or other publicly accessible medium; or any of your Content that is distributed by syndicators in the HD Greetings Syndication Network or their end users without monetary compensation or commercial purposes. 8. No Obligation as to Content. You agree that no obligation of any kind is assumed by or may be implied against HD Greetings because of your submission, or HD Greetings’ receipt or potential or actual review of the Content or any discussions or negotiations you may have with HD Greetings. 9. Your Representations and Warranties. a. You represent and warrant that you are at least eighteen (18) years of age, and have the legal right and authority to grant the option to HD Greetings, and to either sell or license your Content to HD Greetings as provided above. If you register on behalf of a business, you represent to HD Greetings that you have the authority to bind that business and your acceptance of this Agreement and participation in the Program will be treated as acceptance by that business. b. You represent and warrant that the submission of your Content to HD Greetings, the review of your Content by HD Greetings, the rights granted to HD Greetings under this Agreement, including the public display, public performance, distribution, modification and reproduction of your Content or portions or derivative works thereof, will not violate or infringe upon the copyright, literary, privacy, publicity, trademark, service mark or any other personal, contractual or property right of any person or entity and that your Content will not constitute a libel or defamation of any third party. You also represent that you are the sole owner of the Content and all rights therein, and that it is original to you. c. You represent and warrant that you have paid and will pay in full all license fees, clearance fees, and other obligations, of any kind, arising from any use or commercial exploitation of the Content, including, without limitation: i. Copyright. All claims and rights of the copyright holders, if any, in literary, dramatic, musical or other material, including stories, plays, scripts, scenarios, themes, incidents, plots, characteristics, dialogue, music, words appearing, used or recorded in your Content. ii. Contracts. All obligations, of any kind, including, without limitation, those with artists and personnel, relating to purchases, licenses, laboratory contracts, distribution, exhibition, performance or exploitation of your Content. iii. Guild/Union/Performing Rights Society-Participation Payments. Any payments required to be made to any performing rights society or to any body or group representing authors, composers, musicians, artists, and other participants in the production of your Content, publishers or other persons having legal or contractual rights of any kind to participate in the receipts of your Content or to payments of any kind as a result of the distribution or exhibition of your Content and any taxes thereon or on the payment thereof. d. The content of your Content must not be obscene, pornographic, invade privacy rights or in any other way violate applicable laws and regulations. In the event of the exploitation of images of individuals under the age of eighteen (18), you have the legally required consent of such individuals’ parents or guardians to do so. e. You represent that your Content contains no virus or other code or material that will, upon the occurrence of an event, the passage of time, or otherwise, delete or alter any data or impair the operation of any computer system or any equipment or software thereon, or permit any unauthorized access to any such system, equipment or software. 10. Indemnification. You agree to indemnify and hold harmless HD Greetings, its respective officers, directors, managers, members, stockholders, employees, accountants, attorneys, agents, affiliates, subsidiaries, successors and assigns from and against any and all third party claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or related to any breach by you of this Agreement, including a breach of any representations and warranties made by you in this Agreement. You agree to cooperate fully with HD Greetings in the defense or settlement of any claim arising from your breach or alleged breach of any provision of this Agreement. 11. Disclaimer of Warranties. Your submission of Content and participation in the Program are at your sole discretion and risk. The provision of the HD Greetings Site and the Program, and all materials, information, products and services included therein, are provide on an “as-is” basis without warranties of any kind. HD GREETINGS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, RELATING TO THE HD GREETINGS SITE AND THE PROGRAM, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF PROPRIETARY RIGHTS, COURSE OF DEALING OR COURSE OF PERFORMANCE. Under no circumstances shall HD Greetings be responsible for any loss or damage, including personal injury or death, resulting from your submission of Content or participation in the Program. Some states or jurisdictions do not allow the exclusion of certain warranties. Accordingly, some of the above exclusions may not apply to you. 12. Limitation of Liability. THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES (INCLUDING LOSS OF USE, DATA OR PROFITS, COST OF PROCURING SUBSTITUTE PRODUCTS OR BUSINESS INTERRUPTION), WHETHER BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE HD GREETINS SITE, YOUR PARTICIPATION IN THE PROGRAM OR USE OF ANY MATERIALS AVAILABLE TO YOU FROM OR THROUGH THE PROGRAM (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES), WHETHER THE DAMAGES ARE FORESEEABLE AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY’S LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO THE COMPANY RELATED TO YOUR CONTENT OR PARTICIPATION IN THE PROGRAM. 13. Non-Reliance on Statements. You acknowledge that you have not relied on any statement, representation or promise of HD Greetings except as expressly stated in this Agreement. 14. Termination a. The Company may immediately terminate this Agreement, or cancel the Program, for any reason at any time. You may terminate this Agreement at any time by disabling your account or providing notice to the Company. b. Upon termination or expiration of this Agreement, your right to participate in the Program (including but not limited your right to receive compensation, if any) will automatically terminate. Upon termination: (i) all licenses granted to you hereunder will immediately terminate; and (ii) HD Greetings will pay all undisputed amounts, if any, due to you within ninety (90) days from the last day of the month in which termination occurs. In no event, however, shall HD Greetings make payments for any earned balance less than twenty dollars ($100). In the event that this Agreement or the expires or is terminated, the Company shall not be obligated to return any materials to You. c. Upon termination, HD Greetings will remove any advertisements associated with your Content. Although HD Greetings will use commercially reasonable efforts to ensure Your Video Content is removed from the HD Greetings Site within a commercially reasonable period of time following termination, HD Greetings shall have no obligation to remove any of your Content that: (i) is otherwise publicly available through the Internet or other publicly accessible medium; or (ii) any of your Content that is distributed by Syndicators in the HD Network or their end users without monetary compensation as set forth above. In the event that HD Greetings does not remove your Content from the HD Greetings Site within a commercially reasonable time through inadvertence or other error, the Company shall not be liable to you for damages or charges of any kind in an amount greater than the revenues you would have been entitled to under this Agreement but for the termination. For the avoidance of doubt, HD Greetings cannot, and has no obligation to, remove any of your Content that has been distributed through the HD Greetings Network. 15. Survival. The rights and obligations contained in Sections 5, 6.c., 8, 9, 10 and 11-15 will survive termination or expiration of this Agreement for any reason. 16. Miscellaneous. a. If you do not accept and agree with any provision or paragraph of the Agreement, do not submit Content to HD Greetings, because any submission of the Content to HD Greetings constitutes your full and complete acceptance of this Agreement. You agree to keep all records relating to your submission of Content and keep a copy of this Agreement for your records. HD Greetings reserves the right, at its sole discretion, to deliver notices and disclosures to you by electronic and other means such as postal mail. b. You acknowledge that you are submitting Content voluntarily and not in confidence or in trust, and that your submission of Content does not create any confidential or fiduciary relationship between you and HD Greetings. Any part of your Content which any member of the public could freely use may be used by HD Greetings without liability to you or any other entity claiming rights from or through you. c. You believe the Content and its features are unique and novel. You acknowledge, however, that because of HD Greetings’ position in the online industry, other persons, including HD Greetings’ employees, may have submitted to HD Greetings or to others, or may have made public, or may hereafter create, submit to HD Greetings or make public, similar or identical material that HD Greetings may have the right to use. You understand and agree that HD Greetings’ use of material similar to or identical with the Content or containing features or elements similar to or identical with those contained in the Content will not obligate HD Greetings to negotiate with you, nor will it entitle you to any compensation of any kind if HD Greetings determines that it has an independent legal right to use such other material (for example and without limitation, because such features or elements were not new or novel, or were not originated by you, or were or may hereafter be independently created by or submitted to HD Greetings). HD Greetings’ determination concerning such independent legal rights is subject to the arbitration provisions below. d. You have retained a copy of the Content, and you release HD Greetings from any and all liability for loss of or damage to the copy of the Content you have submitted to it. e. The rights and obligations under this Agreement, including without limitation the option to Purchase or License the Content, as well as the Licenses granted by you to HD Greetings, are assignable by HD Greetings in its sole discretion. You may not assign your rights and obligations under this Agreement without the prior written consent of HD Greetings, which consent may be granted or withheld in HD Greetings’ sole discretion. Any assignment in violation of the preceding sentence shall be void. f. You agree that any controversy arising out of or in connection with any alleged wrongful use of the Content, or a dispute with reference to this Agreement, its validity, or effect will be governed by the laws of the state of California. Any controversy arising out of or in connection with any alleged wrongful use of the Content or a dispute regarding this Agreement, or its validity or effect, will be conclusively determined by arbitration in Texas in accordance with the rules of the American Arbitration Association; provided, however, that such arbitration will be held before a single arbitrator selected by the parties, which arbitrator must be well acquainted with the online industry. You agree that any proceeding that you may choose to bring against HD Greetings will be initiated within six (6) months after the date of HD Greetings’ first use of any material that you claim to be yours. You and HD Greetings each waive any and all rights and benefits which you or we might otherwise have or be entitled to litigate any such dispute in court, because it is your and HD Greetings’ intention to arbitrate all such disputes according to the provisions hereof. The arbitrator's decision will be controlled by all the terms of this Agreement. Any such decision and accompanying award will provide for each party, respectively, to bear its own costs of arbitration and attorneys’ fees. The pendency of an arbitration, the proceedings, any evidence or other material, and any award shall be maintained and remain confidential, except that an award may be confirmed by a court of competent jurisdiction if it has not been fully satisfied within 14 days of its issuance. g. You have read and understand this Agreement, and you acknowledge that no oral representations of any kind have been made by HD Greetings and that this Agreement states the entire understanding between you and HD Greetings. Any modification or waiver hereunder must be in writing, affirmed by the party to be bound. The invalidity of any provision hereof will not affect the remaining provisions. I am at least 18 years old and I agree to the terms above.
